1. Acceptance of the Terms

By accessing, registering or using any service offered by SELL-U LLC, you declare that you are at least 18 years of age, have the legal capacity to enter into contracts, and agree to comply with these Terms in their entirety.

2. Description of the Services

SELL-U LLC offers the following main services:

• Personalized consulting: Strategy design for the expansion of Latin American companies in the U.S. and Canada markets.
• Commercial infrastructure setup: Includes website design, digital marketing, trademark registration, and company formation in the U.S.
• Regulatory compliance: Advice on local regulations and health registration.
• Marketplace management: Assistance with creating and managing accounts on Amazon, Walmart, Etsy and other marketplaces.
• Logistics and warehousing: Services related to storage and shipping of products.

Services may vary according to the Client's needs and will be subject to additional agreements described in customized contracts.

3. Use of the Website

3.1 Usage Restrictions

The Client agrees to:

• Not use the Website for illegal or unauthorized purposes.
• Not access, interfere with, or attempt to damage the Company's networks, systems or infrastructure.
• Not copy, reproduce, distribute or sell the services without the Company's express authorization.

3.2 Suspension of Use

SELL-U LLC reserves the right to suspend or cancel access to the Website or the services if it considers that the Client is breaching these Terms or acting in a way that could harm the Company or other users.

4. Contracts and Payments

4.1 Customized Contracts

When contracting services from SELL-U LLC, the Client will enter into a customized contract specifying the specific service terms, delivery timelines and associated costs.

4.2 Payment Policy

• Payments will be made through PayPal, a secure and reliable platform.
• Contracted services will be subject to advance payment, unless otherwise agreed.

4.3 Non-payment

In the event of late payment or non-payment, SELL-U LLC may:

• Temporarily suspend the services.
• Charge late-payment interest at the rate permitted by law.
• Initiate legal action to collect the amounts owed.

5. Limited Warranties

SELL-U LLC warrants that:

• The services will be provided professionally and in accordance with commercial standards.
• It will make every effort to resolve any issues that arise during the provision of the services.

However, the Company cannot guarantee:

• Specific or successful results derived from the services provided.
• Absolute compliance with deadlines in the event of force majeure.

6. Cancellations and Refunds

6.1 Cancellation Policy

• The Client may cancel a contracted service by notifying the Company in writing at least five (5) business days in advance.
• SELL-U LLC may retain part of the payment made to cover administrative costs and/or services already provided.

6.2 Refund Policy

• Refunds will be processed within fifteen (15) business days following approval of the refund request.
• No refunds will be issued for services completed in full.

7. Intellectual Property

All content on the Website, including texts, images, graphics, logos, source code and digital tools, is the exclusive property of SELL-U LLC and is protected by United States and international intellectual property laws.

The Client may not:

• Reproduce, distribute or modify the content without prior written authorization.
• Use the name or logo of SELL-U LLC for commercial purposes without consent.

8. Limitation of Liability

SELL-U LLC will not be liable for:

• Indirect, incidental, punitive or consequential losses arising from the use of the services.
• Damages caused by third parties, Client errors or events beyond the Company's reasonable control.

The Company's total liability will be limited to the amount paid by the Client for the contracted services.

9. Dispute Resolution

9.1 Governing Law

These Terms will be governed by the laws of the state of New Mexico, United States, excluding its conflict-of-laws principles.

9.2 Mediation and Arbitration

In the event of a dispute, the parties agree to first attempt to resolve the conflict through mediation. If no agreement is reached, the dispute will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

10. Modifications to the Terms

SELL-U LLC reserves the right to modify these Terms at any time. Modifications will be published on the Website and will take effect immediately. Continued use of the services will constitute acceptance of the new terms.
